These Affiliate Program Terms (“Terms”) govern participation in the Selzy Affiliate Program.
These Terms are a legal agreement between Selzy and You (the “Affiliate”, “you”).
For the purposes of these Terms:
"Affiliate" means a person or entity approved by Selzy to participate in the Affiliate Program.
"Affiliate Dashboard" means the online interface or reporting system provided by Selzy through which Affiliates may track Referrals, commission accruals, and payment history.
"Attribution Window" means the period of time following a Referral click during which a first paid transaction must occur for the Affiliate to receive commission credit, as specified in Section 3.7.
"Client" means a customer referred to Selzy by an Affiliate pursuant to these Terms.
"Integrator" means a technical implementation partner or onboarding specialist assigned by Selzy to assist a referred Client with setup and integration of the Selzy platform.
"Non-Subscription Services" means implementation services, and other non-subscription services sold by Selzy to a Client, as defined by Selzy at its sole discretion, excluding taxes, refunds, chargebacks, credits, and third-party fees.
"Referral" means a prospective customer who clicks the Affiliate's unique tracking link and subsequently completes a first paid transaction with Selzy within the applicable Attribution Window.
"Selzy" means UNITHING CORP., a company duly incorporated under the laws of the State of Delaware, USA, acting as an authorized reseller of the Selzy platform and operator of the Affiliate Program.
"Subscription Revenue" means amounts actually received by Selzy from a Client for Selzy subscription services, excluding taxes, refunds, chargebacks, credits, and third-party fees.
"Tracking Link" means the unique URL assigned to the Affiliate by Selzy for the purpose of identifying and attributing Referrals.
2.1. Participation in the Affiliate Program is subject to approval by Selzy.
2.2. To participate in the Affiliate Program, a person or entity must submit an application through Selzy's designated affiliate registration process. Selzy will review applications and notify applicants of approval or rejection within 14 business days. Selzy may approve or reject any application at its sole discretion and is not required to provide reasons for rejection.
2.3. Selzy may approve, reject, suspend, or terminate any Affiliate’s participation at its sole discretion.
2.4. The following categories of persons are not eligible to participate in the Affiliate Program without Selzy's prior written consent: (a) current employees, contractors, or officers of Selzy; (b) companies or individuals that directly compete with Selzy in the email marketing software market; (c) existing Selzy Clients referring their own accounts or accounts under common ownership; (d) persons previously terminated from the Affiliate Program for cause, (e) companies or individuals that reside in the countries or territories subject to any international sanctions (EU, US, etc.) or similar restrictions.
3.1. Subject to these Terms, Selzy will pay the Affiliate a commission on Subscription Revenue and Non-Subscription Services actually received by Selzy from Clients referred by the Affiliate, calculated as set out in Sections 3.2 and 3.3. Commission is earned only upon actual receipt of funds by Selzy and is subject to the conditions, limitations, and deductions set out in these Terms. Selzy will maintain an affiliate dashboard or comparable tracking mechanism through which Affiliates can monitor referred Clients, attributed transactions, accrued commissions, and payment history. Selzy reserves the right to modify the dashboard interface at any time, provided that commission reporting data remains accessible to Affiliates in some form.
3.2. Subscription Revenue Commission. Unless otherwise agreed by Selzy in writing, the Affiliate commission rate on Subscription Revenue is:
(a) 30% for commissions attributable to the first 9 unique paying Clients referred by the Affiliate; and
(b) 40% for commissions attributable to the 10th paying Client and each subsequent paying Client referred by the Affiliate.
The 40% rate applies from the date of the 10th Client's first paid transaction. Each Client is counted once toward the tier threshold regardless of churn, re-subscription, or plan changes. The tier counter is cumulative and does not reset upon termination and reinstatement of the Affiliate.
3.3.Non-Subscription Services Commission. The Affiliate is also eligible to receive commission equal to 10% of Non-Subscription Services actually received by Selzy from the referred Client.
3.4. Affiliate commission on Subscription Revenue and Non-Subscription Services is payable only for amounts received by Selzy during the 12-month period beginning on the date of the referred Client's first paid transaction with Selzy (the "Commission Period"). The Commission Period is fixed at the date of first payment and does not restart due to refunds, re-subscriptions, plan changes, or account reinstatement. No commission is payable on transactions occurring after the Commission Period expires, regardless of whether the Affiliate continues to be active..
3.5. Affiliate attribution is based on the Affiliate's Tracking Link being the source of the Client's first visit that resulted in registration or purchase. Attribution remains valid unless reversed by Selzy on one or more of the following grounds: (a) fraudulent activity by the Affiliate or the referred Client; (b) self-referral or referral of an entity under common ownership or control with the Affiliate; (c) duplicate attribution where the same Client has been attributed to multiple Affiliates; (d) refund or chargeback of the qualifying transaction; (e) non-payment or bad debt; or (f) material breach of these Terms by the Affiliate. In cases of reversal, Selzy will notify the Affiliate in writing and provide a brief explanation. Where commission has already been paid and attribution is subsequently reversed on grounds of fraud or self-referral, Selzy reserves the right to recover the paid commission by offset against future payments or by invoice.
3.6. Affiliate attribution is tied to the original Client referral and is not affected by any subsequent changes to the Client's account management, support assignments, or service configuration, unless attribution is reversed under Section. Replacement or reassignment of an Integrator does not, by itself, affect Affiliate attribution.
3.7. A Referral is attributed to an Affiliate when a prospective Client clicks the Affiliate's unique tracking link and completes a first paid transaction within 30 days of that click. Only the most recent valid tracking click is used for attribution where multiple Affiliates referred the same Client. Selzy may adjust the attribution window prospectively upon 14 days' written notice (including by email) to Affiliates.
4.1. Commissions are calculated only on amounts actually received by Selzy platform operator.
4.2. No commission is payable on taxes, refunds, chargebacks, credits, fraudulent transactions, bad debt, or amounts not collected by Selzy.
4.3. Selzy may set Affiliate commissions payout schedules, payout methods, verification procedures, minimum payout thresholds, and administrative requirements at its discretion.
4.4. Selzy may withhold, reverse, offset, or deny any payment in the event of suspected fraud, abuse, policy violation, duplicate attribution, or breach of these Terms.
4.5. Unless otherwise agreed in writing, commissions that have been earned, verified, and not subject to any open dispute or withholding under these Terms will be paid monthly, within 30 calendar days following the end of the calendar month in which they were earned ("standard payout cycle"). Selzy has established a minimum Affiliate commission payout threshold of USD 200 as of the date of these Terms. Affiliate commissions below this threshold in a given cycle will roll over and accumulate until the threshold is met. Selzy will offer payment via bank transfer and other methods available in the Affiliate Dashboard.
The Affiliate is responsible for providing accurate and up-to-date payment details. Selzy is not liable for misdirected payments resulting from incorrect information provided by the Affiliate.
4.6. You are solely responsible for any and all taxes, duties, or other governmental charges relating to commissions we pay to you. Every Affiliate must have a unique, valid taxpayer identification number, valid Social Security Number, or other applicable unique government identification. Affiliate shall be responsible for all applicable taxes or applicable bank transfer (payment processor) fees. Affiliate shall provide Selzy with a recently executed W-9 or W-8-BEN (as applicable) at least once a year. Selzy may withhold payment of some or all Affiliate commissions until a recently executed W-9 or W-8-BEN (as applicable) has been provided by Affiliate.
5.1. The Affiliate shall act lawfully, professionally, and in good faith.
5.2. The Affiliate shall not make false, misleading, unauthorized, or unapproved statements about Selzy, its services, pricing, commitments, or capabilities.
5.3. The Affiliate is responsible for compliance with applicable law in connection with its promotional activities.
5.4. Without Selzy's prior written consent, the Affiliate shall not: (a) send unsolicited commercial communications (spam) that include Affiliate Tracking Links or references to Selzy; (b) bid on Selzy's branded keywords (including "Selzy," "Selzy.com," or confusingly similar terms) in paid search advertising; (c) engage in cookie stuffing, forced clicks, or any technique that artificially generates attributed Referrals; (d) offer cash rebates, discounts, or incentives to prospective Clients in exchange for using the Affiliate's Tracking Link, unless approved in writing by Selzy.
6.1. Selzy retains full control over the Selzy platform, pricing, billing, support model, attribution logic, and Affiliate Program administration.
6.2. Selzy may modify commission rates, attribution rules, eligibility requirements, payment procedures, or any other part of the Affiliate Program at any time.
6.3. Selzy may interpret these Terms and resolve any dispute or attribution issue at its sole discretion.
7.1. Participation in the Affiliate Program continues until terminated by either party or suspended or terminated by Selzy. An Affiliate may terminate their participation at any time by providing written notice to Selzy. Selzy may terminate an Affiliate's participation with 15 days' written notice without cause, or immediately for cause as set out in Section.
7.2. Selzy may suspend or terminate an Affiliate's participation immediately and without prior notice upon: (a) breach of any provision of these Terms; (b) fraudulent or deceptive activity; (c) conduct that in Selzy's reasonable judgment poses a material reputational, legal, or commercial risk to Selzy; (d) prolonged inactivity (defined as no attributed Referral for a period of 12 consecutive months); or (e) insolvency or cessation of business by the Affiliate. Selzy will use reasonable efforts to notify the Affiliate of a suspension or termination and the stated reason promptly after taking such action, except where notification would compromise an ongoing fraud investigation.
7.3. Upon termination, Selzy may discontinue future commission payments except to the extent required under Selzy’s applicable payout rules.
8.1. Nothing in these Terms creates an employment, agency, franchise, joint venture, or exclusive relationship between Selzy and the Affiliate.
8.2. The Affiliate acts as an independent contractor.
8.3. In the event of any conflict between these Terms and any informal description of the Affiliate Program, these Terms prevail.
8.4. Selzy may update these Terms from time to time by publishing a revised version or otherwise notifying Affiliates.
8.5. These Terms and the legal relations among the parties shall be governed by, and construed and enforced in accordance with, the laws of the State of Delaware (USA), without regard to its conflict of laws rules.
8.6. To the maximum extent permitted by applicable law, Selzy's total liability to the Affiliate under or in connection with these Terms shall not exceed the total commission payments actually paid to the Affiliate in the 3 (three) months immediately preceding the event giving rise to the claim. Selzy is not liable for any indirect, incidental, consequential, or lost-profit damages arising from the Affiliate Program, including loss of anticipated commissions or business opportunities.
